Verve MoJoe® Selfie Photo Contest Official Rules

The Verve MoJoe Selfie Photo Contest (the “Contest”) is open to Affiliates and Customers (the “Participant”) residing in the United States (excluding the U.S. Territories), Canada (excluding Quebec) and Puerto Rico, who are 18 years of age and older as of the Contest start date. Employees of Vemma Nutrition Company (the “Company” or “Vemma”) and their respective parents, subsidiaries, affiliates and agents, as well as the immediate family (e.g., spouse, parents, siblings and children) and household members of each such person are not eligible. The Contest is subject to all applicable federal, state and local laws and regulations and is void where prohibited by law.

Eligibility Requirements

To be eligible for this Contest, the Participant must be in good standing in accordance with applicable Company Terms and Conditions throughout the Contest period (as defined below) and until the prizes are awarded. The Participants cannot combine their efforts for the benefit of a single Vemma membership. By submitting their photos in this Contest, the Participant certifies that they have complied with these Contest Official Rules.

Submission Deadlines & Submission Requirements

The Verve MoJoe Selfie Contest begins April 4, 2014 and ends April 11, 2014, at 11:59 p.m. PST. Winner will be announced via Vemma social media networks and Vemma Insider on April 16, 2014. The Participant must tag their photo entry(s) via Facebook, Twitter or Instagram with #mojoeselfie to enter. The Participant is permitted to submit one or more photo entries. Separate entries must be submitted for each photo.

Photos are to be submitted via the #mojoeselfie hashtag. Please submit photographs that are un-manipulated and real.  Please do not digitally enhance or alter your photographs (beyond the basics needed to achieve realistic color balance and sharpness). If you have digitally added or removed anything, please don’t submit the photo. We look at every photo to see if it’s authentic, and if we find that yours is in any way deceptive, it will be disqualified.

Photos deemed inappropriate by Vemma in its sole discretion, will be discarded and considered ineligible. Examples of prohibited design elements include, but are not limited to, profanity, alcohol, illegal paraphernalia, gang-related signs, derogatory statements related to race, gender, age, sex, sexual orientation and/or religion, political statements and anti-government movements. By entering the Contest, the Participant represents, acknowledges, and warrants that the submitted photograph is an original work created solely by the Participant, that the photograph does not infringe any copyrights, trademark rights, moral rights, rights of privacy/publicity, or any other intellectual property rights of any person or entity, and that no other party has any right, title, claim, or interest in the photograph. If the photograph contains any material or elements that are not owned by the Participant and/or are subject to the rights of third parties, and/or if any persons appear in the photograph, the Participant is responsible for obtaining, prior to submission of the photograph, any and all releases and consents necessary to permit the exhibition and use of the photograph in the manner set forth in these Official Rules without additional compensation. If any person appearing in any photograph is under the age of majority in their state/province/territory of residence, the signature of a parent or legal guardian is required on each release.

Photos must incorporate the photographer and at least one (1) MoJoe can . DO NOT subject yourself or others to situations that could cause you or others bodily injury or death or in any other way endanger your safety or the safety of others. Vemma is not responsible for any actions that could lead to bodily injury, accident, or death.

Upon submission, Vemma shall be considered the exclusive owner of all proprietary and intellectual property rights, including but not limited to any trademark rights or copyrights, in and to the photograph.  The Participant acknowledges and agrees that Vemma shall have exclusive rights in and to the photograph that are available to the owner of a United States copyright or trademark, and the Participant hereby waives, assigns and transfers to Vemma, any and all rights in and to the photograph that may exist with respect to the photograph under any and all federal, state, or provincial common law, statutory law, or otherwise, including but not limited to trade secret rights,  privacy rights, moral rights, or any other right thereto.

By submitting an entry, the Participant agree to have their photo and name posted on the Vemma and/or Verve websites and in Vemma and/or Verve social media and marketing materials without further compensation, notification or permission, unless prohibited by law. Contest submissions may be used for the purpose of marketing Vemma and/or Verve products and the Vemma and/or Verve business opportunity.

Judging and Voting Processes

Once the Contest deadline passes, Home Office will subjectively judge the photos based on overall creativity, uniqueness and use of #mojoeselfie hashtag. The Participant may have their personal information posted, which could include, but is not limited to their name, city and state.

The winner will receive a case of Verve MoJoe outlined in the “Contest Prizes” section below. Vemma will announce the winner of the MoJoe Selfie Contest online via the Vemma social media accounts and the Vemma Insider on April 16, 2014. DATES AND TIMES ARE SUBJECT TO CHANGE WITHOUT NOTICE.

Contest Prize

One winner shall be chosen.

The winner will receive (1) case of Verve MoJoe, consisting of (24) cans.

The approximate retail value for the Grand Prize is $79.95 USD. No substitution, exchange, or transfer or cash redemption of prize by winner is permitted. The winner is responsible for all federal, state and local taxes and fees associated with prize receipt and/or use. Acceptance of prize constitutes permission for the Company, or any of its related or affiliated entities, to use the winner’s photo for purposes of publicity, advertising and promotion without further compensation unless prohibited by law. The participation of any individual in this Contest is solely at his/her own risk and responsibility.

Home Office will apply these rules and judge the Contest in good faith. The Company shall have no liability of any kind whatsoever based on any participant’s disagreement with Home Office’s application of the rules and judging of the Contest. The judging and determination of Home Office shall be final.

The winner will be contacted via social media, phone and/or email and/or written letter. Odds of winning will depend on the number of people who enter the Contest.

If Vemma discovers that the winning Participant submitted erroneous, falsified or otherwise altered information, Vemma shall have the right to revoke all prizes issued.

Participation in this Contest is solely at the Participant’s own risk and responsibility and the Participant releases Vemma Nutrition Company and its subsidiaries and affiliates, and their respective shareholders, officers, directors, employees, and agents, from any liability whatsoever, and waives any and all causes of action for any claims, costs, injury, death, losses or damages of any kind arising out of or in connection with this Contest or acceptance, possession, or use of the prize.

In the event that a dispute under or relating to these Official Rules or this Contest cannot be settled by mutual consultation between the parties, both parties irrevocably consent to the jurisdiction of any state or federal court sitting in Maricopa County, AZ, for the resolution of any such dispute and the courts located in Maricopa County, AZ, shall be the sole jurisdiction and venue for any dispute between the parties. The prevailing party in any litigation filed with any such court, including appeals from such court, shall be entitled to an award of costs and reasonable attorneys’ fees.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and the Company in connection with this Contest, shall be governed by and construed in accordance with the substantive laws of the State of Arizona, U.S.A., without regard to Arizona choice of law rules.

Any attempt by a Participant or any other individual to deliberately circumvent, disrupt, or damage the ordinary and normal operation of this Contest, telephone systems or websites or undermine the legitimate operation of the Contest is a violation of criminal and civil laws; and should such an attempt be made, the Company reserves the right to seek damages from any such participant to the fullest extent permitted by law.
